- “Website” means Kosadel.com and any language-specific, regional or other pages operated as part of the Kosadel website.
- “Services” means any services supplied by Kosadel, including marketing, advertising, digital marketing, strategy, consultancy, SEO, paid media, social media, e-commerce marketing, web design and development, analytics, conversion optimisation, email marketing, CRM, branding, creative production, video, influencer marketing, content, media planning, media buying and related services.
- “Proposal” means a proposal, quotation, estimate, commercial offer or other document describing proposed Services.
- “Statement of Work” or “SOW” means a document, Order, proposal or written agreement describing the specific Services, scope, Deliverables, Fees, timetable and other commercial terms applicable to an engagement.
- “Deliverables” means the work product expressly identified as deliverable to the Client under an applicable SOW.

- “Third-Party Services” means platforms, software, media owners, publishers, hosting providers, payment providers, advertising platforms, technology providers and other products or services supplied by third parties.
- “Fees” means amounts payable to Kosadel for the Services.
2. Scope and Order of Precedence
These Terms and Conditions apply to the extent that they are incorporated into or otherwise form part of the contractual relationship between Kosadel and the Client.
Individual engagements may also be governed by a Proposal, SOW, Order, Data Processing Agreement, media authorisation, insertion order or other written agreement.
If there is an inconsistency between contractual documents, the following order of precedence will normally apply unless expressly agreed otherwise in writing:
- the applicable SOW or specifically negotiated written agreement;
- any applicable Data Processing Agreement;
- these Terms and Conditions;
- the relevant Proposal or supporting project documentation.
A variation contained in an SOW applies only to the engagement to which that SOW relates.
3. Business Customers
Kosadel’s professional Services are principally supplied to businesses, organisations, entrepreneurs and self-employed professionals acting for purposes connected with their business, trade, craft or profession.
If you are acting as a consumer rather than for business purposes, any mandatory statutory rights available to you under applicable consumer law are not excluded or restricted by these Terms.
4. Formation of a Contract
A Proposal issued by Kosadel does not constitute an obligation to provide Services unless and until an agreement is formed.
An agreement may be formed when, as applicable:
- both parties sign an agreement or SOW;
- the Client accepts a Proposal or Order in writing;
- the Client pays an agreed deposit, advance payment or invoice;
- the Client instructs Kosadel to commence Services following receipt of a Proposal;
- Kosadel confirms acceptance of the engagement in writing; or
- the parties otherwise clearly demonstrate their agreement to proceed.
Kosadel may withdraw or amend a Proposal before acceptance where circumstances, pricing, availability, third-party costs or scope assumptions have materially changed.
5. Scope of Services
Kosadel will provide the Services described in the applicable SOW with reasonable skill, care and professional diligence.
Only Services, Deliverables and responsibilities expressly included within the agreed scope are included in the Fees.
Discussions, recommendations, presentations, audits or correspondence do not expand the agreed scope unless the parties expressly agree to that change.
6. Changes to Scope
Either party may request changes to an agreed scope. Kosadel may assess the effect of a requested change on Fees, resources, Deliverables, dependencies and delivery dates before accepting it.
Additional work outside the agreed scope may be subject to additional Fees and revised delivery dates.
Kosadel is not required to commence additional or changed work until the change has been agreed in writing or otherwise clearly authorised by the Client.
7. Client Responsibilities
The Client will:
- provide accurate, complete and timely information reasonably required for the Services;
- provide required Client Materials and access rights;
- appoint appropriate contacts with authority to provide instructions and approvals;
- review Deliverables and provide feedback within reasonable agreed timeframes;
- ensure that instructions supplied to Kosadel are lawful and accurate;
- obtain necessary internal, legal, regulatory and commercial approvals;
- maintain appropriate backups of important data and systems under its control;
- protect account credentials and notify Kosadel promptly of suspected compromise;
- cooperate reasonably with Kosadel and relevant third-party suppliers.
Kosadel is not responsible for delay, additional costs or reduced performance caused by missing information, delayed approvals, inaccurate information, unavailable access, technical restrictions or other Client dependencies.
8. Client Instructions and Approvals
Kosadel may rely on instructions and approvals provided by individuals whom the Client presents as authorised representatives.
Approval of copy, creative, campaigns, designs, websites, advertising, media plans or other material constitutes confirmation that the Client accepts the relevant material for release, subject to any additional obligations expressly assumed by Kosadel.
Changes requested after approval may be treated as additional work.
9. Client Materials
The Client retains ownership of Client Materials.
The Client grants Kosadel a worldwide, non-exclusive, royalty-free licence for the duration reasonably necessary to use, reproduce, adapt, host, transmit, edit and otherwise process Client Materials solely to provide the Services and fulfil the applicable engagement.
The Client warrants that:
- it owns or has permission to use and provide all Client Materials;
- Kosadel’s authorised use of them will not infringe third-party rights;
- the materials are not unlawful, defamatory, fraudulent or misleading;
- required licences, releases, permissions and consents have been obtained.
10. Accuracy and Substantiation of Claims
The Client remains responsible for the factual accuracy and substantiation of claims made about its products, services, prices, qualifications, performance, offers, customers or business unless expressly agreed otherwise.
Where advertising or content relates to regulated products, professional services, healthcare, finance, gambling, alcohol, age-restricted products or another regulated sector, the Client is responsible for obtaining appropriate specialist legal or regulatory advice unless the SOW expressly states that Kosadel has assumed a particular compliance task.
11. Fees
Fees will be specified in the applicable Proposal, SOW, Order or invoice.
Unless expressly stated otherwise, Fees do not include:
- VAT or other applicable taxes;
- advertising or media spend;
- software licences;
- hosting, domains or infrastructure;
- stock photography, music, fonts or other licensed assets;
- third-party production costs;
- printing, delivery or physical production;
- travel or accommodation specifically required for an engagement;
- creator, influencer, publisher or media-owner fees;
- other expressly approved third-party costs.
12. Invoicing and Payment
Invoices are payable within the period stated on the applicable invoice, Proposal or SOW. Where no payment period is stated, payment is due within 14 calendar days of the invoice date.
Kosadel may require advance payment, staged payments, retainers, deposits or pre-funding of third-party costs before commencing or continuing Services.
The Client must pay invoices in full without set-off, counterclaim, deduction or withholding except where required by law.
13. Late Payment
If an undisputed amount remains unpaid after its due date, Kosadel reserves the right to exercise any rights available under applicable law in relation to interest, compensation and reasonable debt recovery costs.
Kosadel may also, after providing reasonable notice where appropriate:
- suspend Services;
- pause campaigns;
- withhold release of Deliverables;
- decline additional work;
- require advance payment before Services resume.
Suspension for non-payment does not relieve the Client of its obligation to pay amounts already due or committed third-party costs.
14. Third-Party Costs and Media Spend
Advertising expenditure, media spend and other third-party expenditure are separate from Kosadel’s professional Fees unless expressly stated otherwise.
The Client may be required to pay platforms or suppliers directly or pre-fund Kosadel before Kosadel incurs expenditure on the Client’s behalf.
Kosadel is not obliged to finance advertising expenditure, media costs, production costs or other third-party expenditure from its own funds unless expressly agreed in writing.
15. Estimates and Budgets
Estimates are based on information reasonably available when they are prepared. Unless expressly described as fixed, an estimate is not a guaranteed maximum price.
Where circumstances or Client requirements materially change, Kosadel may provide a revised estimate or request approval for additional Fees.
Advertising and media budgets may fluctuate because of auction conditions, platform billing, currency conversion, taxes, publisher charges and other factors outside Kosadel’s direct control.
16. Timelines and Delivery Dates
Kosadel will use reasonable efforts to meet agreed delivery dates. Unless expressly stated otherwise in writing, dates are estimates rather than guarantees that time is of the essence.
Delivery dates may be adjusted where delay results from:
- late Client approvals or feedback;
- missing Client Materials;
- scope changes;
- third-party delays;
- platform review or approval processes;
- technical dependencies;
- events outside Kosadel’s reasonable control.
17. Review and Acceptance of Deliverables
The Client should review Deliverables promptly and notify Kosadel of any material issue within the review period stated in the applicable SOW.
If no specific review period is stated, the Client should raise material concerns within seven business days of delivery where reasonably practicable.
Revisions included within the scope are limited to the revision process stated in the SOW. New directions, substantial changes following approval or work outside the agreed brief may be charged separately.
18. No Guarantee of Commercial Results
Marketing and advertising performance is influenced by numerous factors outside Kosadel’s control, including market demand, competition, pricing, product quality, brand reputation, website performance, sales processes, customer behaviour, platform algorithms, economic conditions and the Client’s own operational decisions.
Accordingly, unless expressly agreed otherwise in writing, Kosadel does not guarantee:
- specific revenue, profit or return on investment;
- a particular number of enquiries, leads or sales;
- customer acquisition costs;
- conversion rates;
- search engine rankings;
- organic traffic levels;
- advertising approval;
- media coverage;
- social media reach or engagement;
- platform account approval or continued availability;
- AI-generated citations or recommendations;
- any particular commercial outcome.
Forecasts, projections, estimates, benchmarks and scenarios are planning tools and should not be interpreted as guarantees.
19. Paid Advertising and Media Platforms
Paid advertising may involve third-party platforms including search engines, social networks, media owners, publishers, advertising exchanges and technology providers.
Those third parties independently control matters including:
- auction pricing;
- inventory availability;
- advertisement review and approval;
- account eligibility;
- targeting capabilities;
- data availability;
- reporting methodologies;
- platform policies;
- algorithmic delivery;
- account suspension or restriction.
Kosadel cannot guarantee that a platform will approve, publish, continue to display or achieve a particular result from any advertisement or campaign.
20. Search Engine Optimisation
Search engines independently determine crawling, rendering, indexing, ranking and presentation of search results.
SEO Services are intended to improve technical quality, relevance, accessibility, content, authority and other factors that may support organic visibility, but Kosadel does not control search engine algorithms or ranking decisions.
Kosadel therefore does not guarantee:
- first-page rankings;
- specific keyword positions;
- continuous indexing;
- featured snippets;
- AI search citations;
- organic traffic volumes;
- specific numbers of enquiries, transactions or sales.
21. Social Media Services
Social media platforms control account rules, functionality, moderation, distribution, advertising policies and algorithmic visibility.
Kosadel is not responsible for changes imposed by a platform, temporary outages, deactivations, restrictions or removal of material by a platform where those matters are outside Kosadel’s reasonable control.
The Client remains responsible for ensuring that product, service and promotional claims communicated through social media are lawful and appropriately substantiated.
22. Influencers, Creators and User-Generated Content
Where Services involve influencers, creators, affiliates or other third parties, applicable rights, fees, usage periods, deliverables, disclosure obligations and approvals may be governed by separate agreements.
Kosadel cannot guarantee the conduct, audience response, continued availability or future reputation of an independent creator or influencer.
Advertising disclosures and sponsorship labelling must comply with applicable law, advertising standards and platform rules.
23. Websites and Digital Development
Where Kosadel designs, develops or modifies a website, application, landing page or other digital property, functionality will be based on the agreed specification and the technology environment available at the time of development.
Unless expressly included in the SOW, ongoing maintenance, hosting, security monitoring, accessibility auditing, content updates, plugin updates, software updates, backups and technical support are not automatically included after completion.
Kosadel does not warrant that any website or digital system will be completely free from interruption, vulnerabilities, incompatibilities or errors.
The Client should maintain appropriate hosting, security, backup and maintenance arrangements after launch.
24. Domains, Hosting and Technology Accounts
Where practicable, strategically important accounts such as domain registrations, advertising accounts, analytics properties and other core business systems should be held in the Client’s name or under Client-controlled administrative access.
The Client is responsible for renewal fees and maintaining accurate account and payment information where such accounts are under its ownership or control.
Kosadel is not responsible for expiry, suspension or loss caused by a Client’s failure to renew or maintain an account after responsibility has been transferred to the Client.
25. Analytics, Attribution and Reporting
Analytics and advertising systems use different attribution models, identifiers, time zones, consent signals, modelling techniques and reporting methodologies. Figures from different systems may therefore not match exactly.
Tracking may also be affected by cookie restrictions, privacy technologies, browser settings, ad blockers, platform limitations, device switching, consent choices and technical failures.
Reports and dashboards should therefore be interpreted within their measurement methodology and should not be assumed to represent a complete record of every customer interaction.
26. Email Marketing and CRM
Where Kosadel provides email marketing, CRM or database-related Services, the Client is responsible for ensuring that contact data has been obtained and may be used lawfully for the intended purpose.
The Client is responsible for the lawful basis for its own marketing database, suppression requirements and any information it instructs Kosadel to process, except to the extent that responsibility is expressly assumed by Kosadel under a written agreement.
27. Creative, Branding and Production
Creative concepts, brand work, copywriting, photography, video, design and production are inherently subjective.
Kosadel will perform agreed work in accordance with the approved brief, but subjective preferences that arise after approval do not constitute a defect.
Production changes requested after approval may involve additional Fees, particularly where they require re-shooting, re-editing, redesign, re-recording, new licensing or third-party work.
28. Artificial Intelligence and Automation
Kosadel may use appropriate software, automation and artificial intelligence tools to support research, analysis, ideation, production, optimisation or operational workflows where reasonably appropriate.
Such tools may be used as part of a professional workflow rather than as a substitute for appropriate human judgement and review.
Unless expressly agreed otherwise, the Client should not treat marketing, strategic or AI-assisted output supplied by Kosadel as legal, tax, financial, medical or other regulated professional advice.
29. Intellectual Property — Kosadel Materials
Kosadel retains ownership of intellectual property owned or developed independently of a particular Client engagement, including:
- methodologies;
- processes;
- frameworks;
- templates;
- know-how;
- software components;
- code libraries;
- tools;
- systems;
- techniques;
- pre-existing materials;
- general expertise.
These materials are referred to as Kosadel Background Materials.
30. Intellectual Property — Final Deliverables
Unless an SOW states otherwise, and subject to full payment of all amounts due in respect of the relevant engagement, the Client will receive the rights expressly agreed in the final bespoke Deliverables produced specifically for that Client.
Any transfer or licence of rights is subject to:
- Kosadel Background Materials;
- third-party intellectual property;
- open-source software terms;
- stock asset licences;
- font licences;
- music licences;
- creator or talent rights;
- other applicable licensing restrictions.
Kosadel retains ownership of unused concepts, rejected designs, pitches, preliminary work, working files and internal production materials unless expressly agreed otherwise.
31. Third-Party Intellectual Property
Third-party assets may be subject to their own licences and usage restrictions. The Client must comply with applicable licence terms after delivery.
Where a licence is limited by territory, medium, audience, duration or number of users, additional use may require an additional licence and additional cost.
32. Portfolio and Case Study Use
Unless confidentiality obligations, an applicable SOW or written Client instructions provide otherwise, Kosadel may identify the Client as a client and display publicly released work for legitimate portfolio, credentials and business-development purposes.
Kosadel will not knowingly publish confidential Client information for this purpose.
33. Confidentiality
Each party will keep confidential information received from the other party confidential and will use it only as reasonably necessary for the engagement.
Confidential information does not include information that:
- is or becomes publicly available other than through a breach of confidentiality;
- was lawfully known to the receiving party before disclosure;
- is lawfully received from a third party without confidentiality restrictions;
- is independently developed without use of the confidential information;
- must be disclosed by law, regulation or court order.
A party required by law to disclose confidential information should, where legally permitted, notify the other party before disclosure.
34. Data Protection
Each party will comply with applicable data protection legislation in relation to personal information it processes under the engagement.
Where Kosadel processes personal data on behalf of the Client as a processor, the parties may enter into a separate Data Processing Agreement containing the legally required processor terms.
Where each party acts as an independent controller, each party is independently responsible for its own compliance obligations.
Further information about Kosadel’s processing of personal information is available in our Privacy Policy.
35. Cookies and Similar Technologies
Information concerning cookies and similar technologies used on Kosadel’s Website is available in our Cookie Policy.
36. Third-Party Services
Kosadel may recommend, configure, integrate or work with Third-Party Services.
Third-Party Services are governed by the supplier’s own terms, privacy notices, service levels, pricing, policies and technical limitations.
Unless expressly stated otherwise, Kosadel does not control and is not responsible for:
- third-party outages;
- changes in functionality;
- changes in pricing;
- service discontinuation;
- platform policy changes;
- data loss caused by a third-party provider;
- actions independently taken by third-party providers.
37. Subcontractors and Specialist Suppliers
Kosadel may use employees, contractors, specialist suppliers, production partners and other subcontractors to provide aspects of the Services.
Kosadel remains responsible for managing the Services it has agreed to provide, subject to the limitations and third-party dependencies described in these Terms.
38. Suspension of Services
Kosadel may suspend all or part of the Services where reasonably necessary if:
- undisputed invoices remain overdue;
- continuing the Services could be unlawful;
- the Client provides unlawful or materially misleading instructions;
- required access or Client cooperation is unavailable;
- there is a serious security concern;
- a third-party platform requires suspension;
- continued work would materially breach applicable professional, legal or regulatory obligations.
Where reasonably practicable, Kosadel will notify the Client of the reason for suspension.
39. Term and Ongoing Services
The term of an engagement will be stated in the applicable SOW.
Where recurring monthly Services do not specify a fixed minimum term or separate termination mechanism, they will continue on a month-to-month basis until terminated by either party by giving at least 30 days’ written notice.
40. Termination
Either party may terminate an engagement in accordance with the notice provisions stated in the applicable SOW.
Either party may terminate an engagement with immediate effect by written notice if the other party:
- commits a material breach that cannot be remedied;
- commits a material breach capable of remedy and fails to remedy it within a reasonable period after written notice;
- becomes insolvent or enters an applicable insolvency process, subject to applicable law;
- engages in conduct that would make continuation of the engagement unlawful.
41. Consequences of Termination
On termination:
- Fees for Services already performed remain payable;
- approved or unavoidable third-party commitments remain payable by the Client;
- outstanding invoices become payable in accordance with their terms;
- Kosadel may cease active Services and campaign management;
- each party will return or deal appropriately with confidential information where required;
- rights intended to survive termination will continue.
Subject to payment of all amounts due, Kosadel will provide reasonable cooperation for an orderly handover of Client-owned accounts and final Deliverables within the agreed scope. Material additional transition work may be charged separately.
42. Cancellation of Projects
If a Client cancels a project after work has commenced, the Client remains responsible for:
- work completed up to cancellation;
- resources already committed where they cannot reasonably be cancelled;
- approved third-party expenses;
- any cancellation terms expressly stated in the applicable SOW.
Amounts relating to work already performed or non-cancellable commitments are not refundable except where required by law.
43. Website Use
Website content is provided for general information about Kosadel and its Services. It does not constitute legal, tax, financial, investment, medical or other regulated professional advice.
You may access and use the Website only for lawful purposes.
44. Prohibited Website Use
You must not knowingly:
- use the Website unlawfully or fraudulently;
- introduce malware, viruses, malicious code or harmful technologies;
- attempt unauthorised access to the Website, servers or connected systems;
- interfere with Website operation or security;
- conduct unauthorised automated scraping that materially impairs the Website;
- misrepresent your identity or affiliation;
- use Website content in a manner that infringes intellectual property rights;
- attempt to circumvent security or access restrictions.
45. Website Intellectual Property
Unless otherwise indicated, the Website and its original content, branding, design, graphics, text, video, code and other materials are owned by or licensed to Kosadel.
You may view Website material for legitimate personal or business evaluation purposes. No broader licence is granted unless expressly stated.
You must not reproduce, republish, distribute, sell, commercially exploit or create derivative works from protected Website material without appropriate permission, except where permitted by law.
46. Third-Party Links
The Website may contain links to third-party websites and services for convenience or informational purposes.
Kosadel does not control those websites and is not responsible for their content, security, availability, privacy practices or contractual terms.
47. Website Availability
Kosadel aims to maintain a professional and accessible Website but does not guarantee that the Website will always be uninterrupted, error-free or continuously available.
Kosadel may change, suspend, withdraw or restrict all or part of the Website where reasonably necessary.
48. Warranties
Kosadel warrants that it will provide the Services with reasonable skill and care consistent with the nature of the relevant professional Services.
Except as expressly stated in an agreement and to the maximum extent permitted by law, other warranties, conditions or terms implied by law are excluded where they may lawfully be excluded.
49. Limitation of Liability
Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by applicable law.
In particular, nothing excludes or limits liability for:
- death or personal injury caused by negligence where liability cannot lawfully be excluded;
- fraud or fraudulent misrepresentation;
- any other liability that cannot lawfully be excluded or limited.
Subject to the paragraph above and to the maximum extent permitted by law, Kosadel will not be liable for indirect or consequential loss, or for loss of profit, revenue, anticipated savings, goodwill, reputation, opportunity, contracts or business, where such loss was not reasonably contemplated as a direct consequence of the relevant breach.
Subject to any different liability provision expressly stated in the applicable SOW, and to the maximum extent permitted by law, Kosadel’s aggregate liability arising from or in connection with a particular engagement will not exceed the total professional Fees paid or payable to Kosadel under that engagement during the twelve months immediately preceding the event giving rise to the claim, or the total Fees for that engagement where its duration is less than twelve months.
This limitation does not apply to liabilities that cannot lawfully be limited.
50. Client Responsibility for Business Decisions
Kosadel may provide analysis, recommendations, forecasts and strategic advice. Final commercial and operational decisions remain the Client’s responsibility.
The Client is responsible for determining whether recommendations are appropriate for its organisation, risk tolerance, regulatory environment, resources and commercial circumstances.
51. Indemnity for Client-Supplied Materials
To the extent permitted by law, the Client will be responsible for losses, liabilities, claims and reasonable costs arising directly from Client Materials or Client instructions that infringe third-party rights or are unlawful, where Kosadel used those materials or instructions as authorised by the Client and had no reasonable basis to know of the infringement or unlawfulness.
52. Force Majeure
Neither party will be liable for delay or failure to perform an obligation, other than an obligation to pay amounts already due, where performance is prevented by circumstances beyond that party’s reasonable control.
Such circumstances may include:
- natural disasters;
- war, terrorism or civil disturbance;
- government restrictions;
- widespread internet or telecommunications failure;
- major power failure;
- industrial disputes not limited to the affected party’s own workforce;
- serious cyber incidents affecting external infrastructure;
- platform-wide outages;
- other events reasonably outside the affected party’s control.
The affected party should take reasonable steps to mitigate the effect of the event.
53. Anti-Bribery and Unlawful Conduct
Neither party will knowingly require the other party to engage in bribery, corruption, fraud or other unlawful conduct in connection with an engagement.
Kosadel may decline or discontinue instructions that it reasonably believes would require unlawful conduct.
54. Independent Contractor Relationship
Unless expressly stated otherwise, Kosadel acts as an independent contractor.
Nothing in these Terms creates a partnership, joint venture, employment relationship, fiduciary relationship or authority for either party to bind the other generally.
55. Assignment
Neither party may assign material rights or obligations under an engagement without the other party’s consent where such consent is reasonably required, except that Kosadel may assign an agreement as part of a bona fide corporate restructuring, merger or transfer of substantially all of the relevant business, subject to applicable law.
56. Notices
Formal contractual notices should be sent using the contact details stated in the relevant SOW or other written agreement.
Routine project correspondence, approvals and operational instructions may be communicated through email or other agreed business communication channels.
57. No Waiver
A failure or delay by either party to exercise a contractual or legal right does not automatically waive that right.
A waiver of one breach does not constitute a waiver of any subsequent breach.
58. Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will, to the extent necessary, be treated as modified or removed while the remaining provisions continue in effect.
59. Entire Agreement
The applicable agreement, including the SOW and any documents expressly incorporated into it, constitutes the agreement between the parties concerning its subject matter and supersedes prior discussions, proposals or representations relating to that same subject matter.
Nothing in this section limits liability for fraud or fraudulent misrepresentation.
60. Third-Party Rights
Unless expressly stated otherwise, a person who is not a party to the relevant agreement has no right to enforce its terms.
61. Changes to These Terms
Kosadel may update the Website version of these Terms from time to time to reflect changes in Services, technology, law, regulation or business practices.
Updated Website Terms apply from the date published in relation to future Website use.
Changes to an existing Client agreement will apply only in accordance with the amendment mechanism governing that agreement or where otherwise lawfully agreed between the parties.
62. Complaints and Dispute Resolution
If a dispute or concern arises, the parties should first attempt in good faith to resolve the matter through appropriate senior representatives before commencing formal proceedings, where reasonable in the circumstances.
Concerns may be submitted through our Contact Us page.
63. Governing Law
These Terms, and any contractual or non-contractual dispute or claim arising out of or in connection with them, are governed by the laws of England and Wales, unless mandatory law requires otherwise.
64. Jurisdiction
Subject to any mandatory jurisdictional rights that cannot lawfully be excluded, the courts of England and Wales will have exclusive jurisdiction over disputes arising out of or in connection with these Terms or the Services.
